1. Introduction and Acceptance of Terms

Welcome, and thank you for your interest in Pinnacle Business Guides, LLC, together with its subsidiaries and affiliates (“Pinnacle Business Guides,” “PBG,” “we,” “us,” or “our”). These Terms of Use, together with any Order Form, subscription agreement, data processing addendum, privacy policy, acceptable use policy, product-specific terms, or other written terms that reference these Terms (collectively, the “Agreement”), govern your access to and use of our meeting management software, websites, applications, integrations, documentation, content, support, and related services (collectively, the “Service”).

If you are using the Service under a free trial, pilot, beta, demonstration, or promotional plan, these Terms apply to that access unless we state otherwise in writing.

IMPORTANT NOTICE: THIS AGREEMENT CONTAINS DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, AND DISPUTE RESOLUTION PROVISIONS THAT MAY AFFECT YOUR RIGHTS. PLEASE READ IT CAREFULLY.

3.1 Provision of the Service

Subject to your compliance with this Agreement and payment of applicable fees, Pinnacle Business Guides grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use Pinnacle Navigator™ Meeting Software during the applicable subscription term solely for your internal business purposes and in accordance with the Documentation and applicable Order Form.

The Service may allow Users to create, manage, and share meeting agendas; assign tasks and action items; track goals, issues, metrics, scorecards, decisions, and follow-ups; connect calendars or third-party accounts; invite participants; produce reports or summaries; and use other collaboration tools made available by PBG from time to time. We may add, modify, suspend, or discontinue features as the Service evolves, provided that we will not materially reduce core paid functionality during an active subscription term without reasonable notice where commercially practicable.

3.3 Support and Availability

We will use commercially reasonable efforts to make the online portions of the Service available on a continuous basis, except for planned maintenance, emergency maintenance, updates, downtime of third-party services, force majeure events, or circumstances beyond our reasonable control. We may provide standard support through the channels and during the hours posted by us or stated in the applicable Order Form.

3.4 Beta, Trial, and Free Features

We may offer beta, evaluation, pilot, free, or pre-release features. These features are provided for evaluation only, may be modified or discontinued at any time, may not be supported, and may be subject to additional terms. To the fullest extent permitted by law, beta, trial, free, and pre-release features are provided; and without warranties, indemnities, service commitments, or liability obligations.

4. Accounts, Administrators, and User Responsibilities

To access certain features, you may be required to create an Account or be invited to a workspace by an Administrator. You agree to provide accurate, current, and complete registration, billing, and contact information and to promptly update it as needed.

4.2 Account Security

You are responsible for maintaining the confidentiality of login credentials and for all activity occurring under your Account, including activity by Users you invite. You must use commercially reasonable efforts to prevent unauthorized access to or use of the Service and must promptly notify us of any suspected breach, unauthorized access, or misuse.

4.3 Administrator Authority

Administrators may configure workspace settings, manage Users, connect or disconnect integrations, control access permissions, export Customer Data, cancel subscriptions, and take other administrative actions. You are responsible for all actions taken by your Administrators and for ensuring that your configuration of the Service is appropriate for your business and privacy requirements.

You may use the Service only if you are at least 18 years old, legally capable of entering into binding contracts, and not prohibited from using the Service under applicable law. You may not create an Account using false information or impersonate another person or entity.

5. Acceptable Use and Restrictions

You and your Users may use the Service only for lawful business purposes and in compliance with this Agreement, the Documentation, and all applicable laws and regulations. You will not, and will not permit any User or third party to:

  • use the Service for any illegal, fraudulent, harmful, deceptive, infringing, defamatory, harassing, abusive, obscene, or tortious purpose;
  • submit, upload, transmit, or store Customer Data that violates third-party rights, privacy rights, confidentiality obligations, or applicable law;

  • attempt to gain unauthorized access to the Service, other customer environments, accounts, computer systems, or networks;
  • sell, resell, rent, lease, sublicense, distribute, timeshare, outsource, or otherwise commercially exploit the Service except as expressly authorized by PBG in writing;
  • copy, modify, translate, adapt, create derivative works from, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying ideas from the Service, except to the extent such restrictions are prohibited by law;
  • access or use the Service to build or benchmark a competing product or service, copy ideas, features, functions, graphics, workflows, or user interfaces, or determine whether the Service falls within the scope of any patent;
  • use automated means such as bots, crawlers, scrapers, or data mining tools to access, scrape, extract, or index the Service except as expressly permitted by us in writing;
  • remove, obscure, or alter proprietary notices, branding, copyright notices, trademark notices, or other rights notices;

6. Customer Data and Content

6.1 Ownership of Customer Data

As between you and PBG, you retain all right, title, and interest in and to Customer Data. We do not claim ownership of Customer Data.

6.2 License to Operate the Service

You grant PBG and its affiliates, contractors, subprocessors, and service providers a worldwide, non-exclusive, limited-term license to host, copy, process, transmit, display, reproduce, modify, and use Customer Data solely as necessary to provide, secure, maintain, support, improve, and operate the Service; prevent or address service, security, support, or technical issues; comply with law; and exercise our rights and obligations under this Agreement.

6.3 Your Responsibility for Customer Data

You are responsible for the accuracy, quality, legality, reliability, appropriateness, and ownership of Customer Data; for obtaining all rights, consents, permissions, notices, and authorizations necessary for PBG to process Customer Data; and for configuring access permissions appropriately. You acknowledge that meeting notes, agendas, action items, attendee names, calendar information, comments, attachments, recordings, and related metadata may include Personal Data or confidential information.

6.4 Backups and Exports

The Service may allow you to export certain Customer Data. You are responsible for retaining copies of Customer Data that you need for your business, compliance, legal, or recordkeeping purposes. We may maintain backups for operational resilience, but backups are not a substitute for your own retention obligations.

6.5 Aggregated and De-Identified Data

We may collect, use, and disclose aggregated, anonymized, or de-identified data derived from use of the Service for analytics, benchmarking, product improvement, security, research, and business purposes, provided that such data does not identify you, your Users, or any individual and is not reasonably capable of being re-identified by us.

7. Privacy and Data Protection

7.1 Privacy Policy

Our Privacy Policy (https://www.pinnaclebusinessguides.com/privacy) describes how we collect, use, disclose, and protect Personal Data and is incorporated into this Agreement by reference. If there is a conflict between this Agreement and the Privacy Policy regarding processing of Personal Data, the Privacy Policy or an applicable data processing addendum controls.

7.2 Customer Instructions and Compliance

To the extent PBG processes Personal Data contained in Customer Data on your behalf, we will process such Personal Data in accordance with this Agreement, applicable privacy documentation, and your lawful instructions as expressed through use of the Service. You are responsible for providing all required privacy notices and obtaining all required consents from Users, meeting participants, employees, contractors, clients, and other individuals whose Personal Data is submitted to the Service.

7.3 Security Safeguards

We will maintain commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data in our possession or control against unauthorized access, disclosure, alteration, or destruction. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

7.4 Security Incidents

Data Processing Addendum. Business customers subject to GDPR or UK GDPR may request PBG’s standard Data Processing Addendum (DPA) at Navigator@Pinnacle.Guide. The DPA governs PBG’s processing of personal data as a data processor and supersedes conflicting terms in this Agreement to the extent of that conflict.

HIPAA / Healthcare Data. PBG does not accept protected health information (PHI) as defined under HIPAA unless the parties have executed a Business Associate Agreement (BAA). HIPAA-covered entities may not use the Service to process PHI without a signed BAA. To request a BAA for enterprise plans, contact Navigator@Pinnacle.Guide.

If we become aware of unauthorized access to or disclosure of Customer Data in our possession or control that requires notice under applicable law, we will notify you without undue delay, and in any event within 72 hours of becoming aware of a reportable breach where feasible, and provide information reasonably available to us, consistent with our legal, security, and confidentiality obligations. You are responsible for determining whether notice to your Users, employees, customers, regulators, or other third parties is required.

7.5 Data Deletion

Upon expiration or termination of your subscription, we may delete or return Customer Data in accordance with our standard retention practices, the Documentation, the applicable Order Form, or applicable law. Customer Data may remain in backups or archival copies for a limited period, subject to ordinary backup rotation and legal retention requirements.

8. Third-Party Services and Integrations

The Service may integrate with or contain links to third-party products, platforms, applications, websites, calendars, identity providers, communication tools, payment processors, support systems, analytics tools, or other services (“Third-Party Services”). Examples may include calendar providers, email systems, single sign-on providers, payment processors, customer support platforms, and other tools selected or enabled by you.

Third-Party Services are not controlled by PBG. Your use of Third-Party Services is governed by your agreements with those third parties, not this Agreement. We are not responsible for Third-Party Services, their content, security, privacy practices, availability, functionality, or use of Customer Data after it is transmitted to or from such services at your direction. You authorize us to access, exchange, and process information from Third-Party Services as necessary to provide the integrations you enable.

9. Fees, Subscriptions, Billing, and Taxes

9.1 Fees

You agree to pay all fees specified in the applicable Order Form, checkout page, invoice, pricing page, or other written agreement. Fees are generally subscription-based and not based on actual usage unless the Order Form states otherwise. Except as expressly stated in this Agreement or required by law, payment obligations are non-cancelable and fees paid are non-refundable.

9.2 Payment Authorization

If you provide a payment method, you authorize PBG and its third-party payment processors to charge that payment method for all fees, taxes, renewals, upgrades, add-ons, overages, and other amounts due. You represent that you are authorized to use the payment method provided. You must keep billing, payment, and contact information accurate and current.

9.3 Invoices and Late Payments

If we invoice you, invoices are due at the time of the invoice date unless otherwise stated in the Order Form. Overdue amounts may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. You are responsible for reasonable costs of collection, including attorneys’ fees, incurred by us to collect overdue amounts.

9.4 Suspension for Nonpayment

We may suspend or limit access to the Service if fees remain unpaid after written notice, except where you are disputing the charges in good faith and cooperating diligently to resolve the dispute. Suspension does not relieve you of your obligation to pay amounts due.

9.5 Automatic Renewal

If your subscription is set to renew automatically, it will renew for successive terms of the same length as the initial subscription term, unless you cancel before the renewal date through the billing settings or by following the cancellation process provided by PBG. Renewal will be at the then-current price unless otherwise stated in the Order Form or required by law.

9.6 Taxes

Fees do not include taxes, levies, duties, or similar governmental assessments, including sales, use, value-added, goods and services, withholding, or similar taxes. You are responsible for all taxes associated with your purchases, excluding taxes based on PBG’s net income, property, or employees. If we are legally required to collect taxes, we will invoice or charge them unless you provide a valid exemption certificate.

10. Proprietary Rights, Licenses, and Feedback

10.1 PBG Intellectual Property

PBG and its licensors own and reserve all right, title, and interest in and to the Service, Documentation, software, technology, designs, workflows, user interfaces, graphics, logos, trademarks, service marks, trade names, content, templates, know-how, and all related intellectual property rights. No rights are granted to you except as expressly stated in this Agreement.

10.2 Documentation and Templates

If we make meeting templates, business guides, agendas, worksheets, frameworks, or other materials available through the Service, you may use them solely in connection with your permitted use of the Service for your internal business purposes, unless a separate written license permits broader use. You may not resell, redistribute, publish, or commercialize such materials separately from the Service.

10.3 Feedback

If you or your Users provide ideas, suggestions, enhancement requests, recommendations, corrections, or other feedback about the Service (“Feedback”), you grant PBG a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, disclose, reproduce, distribute, modify, incorporate, commercialize, and otherwise exploit Feedback without restriction or compensation to you.

10.4 Customer Marks

Unless you opt out in writing, you grant PBG permission to use your name and logo in customer lists, websites, and marketing materials solely to identify you as a customer. We will use your marks in accordance with any reasonable brand guidelines you provide.

11. Confidentiality

“Confidential Information” means information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. Customer Data is your Confidential Information. The Service, non-public product information, pricing, roadmaps, security information, and Documentation are PBG Confidential Information. Confidential Information does not include information that is or becomes public without breach; was known without restriction before disclosure; is received from a third party without breach of duty; or is independently developed without use of Confidential Information.

The receiving party will use the disclosing party’s Confidential Information only to perform or exercise rights under this Agreement and will protect it using at least reasonable care. The receiving party may disclose Confidential Information to its employees, contractors, affiliates, advisors, service providers, and representatives who need to know it for purposes consistent with this Agreement and who are bound by confidentiality obligations at least as protective as those in this Agreement.

The receiving party may disclose Confidential Information if required by law, subpoena, court order, or governmental request, provided that it gives prompt notice to the disclosing party where legally permitted and reasonably cooperates with efforts to limit or contest the disclosure. The obligations in this Section survive for five years after disclosure, except that trade secrets and highly sensitive information remain protected for so long as they remain confidential under applicable law.

12. Monitoring, Enforcement, and Removal

We may, but are not obligated to, monitor, investigate, review, remove, disable access to, or refuse to display Customer Data or User activity where we believe doing so is necessary to operate the Service, enforce this Agreement, comply with law, respond to support or security requests, protect rights or safety, or prevent harm. We do not undertake to pre-screen Customer Data and are not responsible for Customer Data submitted by you or your Users.

13. Copyright and Intellectual Property Complaints

If you believe that content available through the Service infringes your copyright, trademark, or other intellectual property rights, please send a notice to the contact information below that includes: your physical or electronic signature; identification of the work claimed to be infringed; identification of the allegedly infringing material and its location; your contact information; a statement that you have a good faith belief that the disputed use is not authorized; and a statement under penalty of perjury that the information in your notice is accurate and that you are the rights owner or authorized to act on the owner’s behalf.

14. Term, Termination, and Suspension

14.1 Term

This Agreement begins when you first accept it, access the Service, create an Account, or execute an Order Form, and continues until all subscriptions have expired or been terminated and you cease all use of the Service.

14.2 Termination by You

You may terminate your subscription at the end of the then-current subscription term by following the cancellation procedure in your billing settings or by providing written notice as specified by PBG. Unless otherwise required by law or expressly stated in the Order Form, cancellation does not entitle you to a refund or credit for fees already paid.

14.3 Termination or Suspension by PBG

We may suspend or terminate your access to the Service, in whole or in part, if: (a) you breach this Agreement; (b) payment is overdue; (c) your use of the Service creates security, legal, operational, or reputational risk; (d) we are required to do so by law; (e) we discontinue the Service; or (f) your Account has been inactive for an extended period. Where commercially reasonable, we will provide notice and an opportunity to cure before terminating for breach, but we may act immediately if necessary to prevent harm.

14.4 Effect of Termination

Upon termination or expiration, your right to use the Service ends immediately, and you must stop using the Service. We may delete Customer Data in accordance with our retention practices. Sections that by their nature should survive termination will survive, including payment obligations, confidentiality, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous provisions.

15. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, DOCUMENTATION, SUPPORT, BETA FEATURES, FREE FEATURES, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. PBG DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND COURSE OF DEALING OR USAGE OF TRADE.

PBG DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF MALICIOUS CODE; THAT CUSTOMER DATA WILL NOT BE LOST OR CORRUPTED; OR THAT OUTPUTS, SUMMARIES, REPORTS, REMINDERS, TASKS, RECOMMENDATIONS, OR OTHER INFORMATION GENERATED OR DISPLAYED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR RELIABLE.

THE SERVICE IS A MEETING MANAGEMENT AND BUSINESS COLLABORATION TOOL. IT DOES NOT PROVIDE LEGAL, TAX, ACCOUNTING, HUMAN RESOURCES, FINANCIAL, MEDICAL, OR OTHER PROFESSIONAL ADVICE. YOU ARE RESPONSIBLE FOR REVIEWING MEETING OUTPUTS, DECISIONS, TASKS, RECORDS, AND REPORTS BEFORE RELYING ON THEM OR SHARING THEM WITH OTHERS.

Some jurisdictions do not allow certain disclaimers, so some of the above disclaimers may not apply to you to the extent prohibited by law.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PBG OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOST SAVINGS; LOSS OF GOODWILL; BUSINESS INTERRUPTION; LOSS, CORRUPTION, OR RECOVERY OF DATA; PROCUREMENT OF SUBSTITUTE SERVICES; OR OTHER SIMILAR DAMAGES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, PBG’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO PBG FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

The limitations in this Section apply even if a remedy fails of its essential purpose and are fundamental elements of the bargain between the parties. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you to the extent prohibited by law.

17. Indemnification

You will defend, indemnify, and hold harmless PBG and its affiliates, officers, directors, employees, contractors, agents, suppliers, licensors, and service providers from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses, including reasonable attorney’s fees, arising out of or related to:

Customer Data, including allegations that Customer Data infringes, misappropriates, or violates third-party rights or applicable law;
your or your Users’ use or misuse of the Service;
your breach of this Agreement;
your violation of applicable law or regulation;
your gross negligence, willful misconduct, fraud, or misrepresentation;
a dispute between you and any User, employee, contractor, client, meeting participant, or third party.

We may assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us. You may not settle any matter in a manner that imposes liability, admission, or obligation on PBG without our prior written consent. 18. Dispute Resolution; Governing Law

18.1 Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to conflicts of law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of any arbitration agreement if adopted below.

18.2 Informal Resolution

Before filing a claim, the party seeking relief must provide written notice describing the dispute and allow the other party 30 days to attempt to resolve it informally. Notices to PBG must be sent to Navigator@Pinnacle.Guide

18.3 Arbitration and Class Action Waiver - Optional Clause for Counsel Review

Except for small claims, collection actions, and claims for injunctive or equitable relief involving intellectual property, confidentiality, security, or unauthorized use of the Service, any dispute arising out of or relating to this Agreement or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules. The arbitration will take place in Miami-Dade County in the state of Florida, unless the parties agree otherwise. Each party may bring claims only on an individual basis and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The parties waive any right to a jury trial. If this arbitration clause is not included, disputes will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and each party consents to personal jurisdiction and venue there.

19. Changes to the Service or Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, sending an email, displaying an in-product notice, or using another reasonable method. Unless otherwise stated, changes become effective when posted. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription as permitted by this Agreement.

20. Export, Sanctions, and Anti-Corruption

You may not access or use the Service in violation of U.S. export control laws, sanctions laws, anti-corruption laws, or other applicable trade restrictions. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions and are not listed on any restricted party list. You will not use the Service for any prohibited end use or provide access to any prohibited person.

21. Miscellaneous

21.1 Entire Agreement

This Agreement is the entire agreement between you and PBG regarding the Service and supersedes all prior or contemporaneous agreements, proposals, representations, and understandings regarding its subject matter. If there is a conflict between these Terms and an Order Form, the Order Form controls only for the Service and subscription covered by that Order Form.

21.2 Assignment

You may not assign or transfer this Agreement without our prior written consent, except to a successor in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets, provided that the successor agrees in writing to be bound by this Agreement. We may assign this Agreement to an affiliate or in connection with a merger, acquisition, corporate reorganization, financing, or sale of assets.

21.3 Force Majeure

Neither party will be liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, utility failures, cyberattacks, governmental actions, epidemics, pandemics, or failures of third-party providers, except that payment obligations are not excused.

21.4 Notices

We may provide notices by email, in-product message, posting within the Service, or other reasonable means. Notices to PBG must be sent to: Pinnacle Business Guides International, LLC, Attn: Legal, with a copy to Navigator@Pinnacle.Guide.

21.5 Severability; Waiver

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision will be replaced or limited to the minimum extent necessary to make it enforceable. A party’s failure to enforce any provision is not a waiver of that provision or any other provision.

21.6 Relationship of the Parties

The parties are independent contractors. This Agreement does not create a partnership, joint venture, agency, fiduciary, franchise, or employment relationship.

21.7 No Third-Party Beneficiaries

There are no third-party beneficiaries to this Agreement unless expressly stated otherwise.

21.8 Order of Precedence

In the event of conflict, the following order of precedence applies: (1) a signed DPA, BAA, or enterprise agreement; (2) an Order Form; (3) these Terms of Use; (4) the Privacy Policy and Acceptable Use Policy. If a data processing addendum, business associate agreement, or other signed written agreement is required for a specific regulated use case and is executed by both parties, that signed agreement controls to the extent of any direct conflict with these Terms for that use case.
